Corporate takeover

Entrepreneurs, investors, strategic parties and their trusted advisors come to us for legal support in the sale or purchase of a company or business unit or participation.

Expertise, clear communication, expectation management and good cooperation in the multidisciplinary team form in our opinion the basis for a successful and smooth conclusion of this intensive process.

In love with a company

The sale or purchase of a company is often also an emotional matter. This is often insufficiently recognised. We also bring this aspect into the equation in order to be able to advise you well.

If clients fall in love with a company, this often translates into a high purchase price and their being not sufficiently alert to the risks involved. Together with you, we will look at how we can bring all the risks to light and how we can best limit them.

What are the ‘must haves’ that we must hold on to? And what are the ‘nice to haves’ that will help seal the deal?

Our various roles

In the guidance of sales and purchases, we are familiar with both auction processes and one-to-one negotiations. We may play a leading role in this or be part of a multidisciplinary team (often headed by corporate finance specialists).

Our specialists support both entrepreneurs and formal and informal investors and private equity firms. This makes it easy for us to put ourselves in the position of the party on the other side of the table.

Ours is a multidisciplinary team: because our lawyers and notaries work closely together, we can guide you from start (confidentiality agreement) to finish (passing the notarial deed) and everything in between.

Clear communication

We communicate clearly about the expectations on both sides. Should there be a limited or extensive due diligence investigation? Should we conduct a review of the contracts received or just a check on the biggest risks? Do you want a fixed-price contract for certain work? Do you have enough time and manpower available for a deal with this timeframe? What is your bottom line in negotiations?

If you have any questions or would like more information, please feel free to contact us. We will be happy to help you.
